Semester GPA only reflects one term's classes. Cumulative GPA is the weighted average of every semester's GPA combined, weighted by how many credit hours you took each semester — not a simple average of GPAs.
Because semesters with more credit hours should count more. A 4.0 in a 12-credit semester and a 2.0 in a 18-credit semester average to a simple 3.0, but the true credit-weighted cumulative GPA is lower (2.8) because more credits were earned at the lower GPA.
A 'W' (withdrawal) typically does not affect GPA, but an incomplete that converts to an F will. Check your school's specific policy — some schools also let you retake a class and replace the old grade ('grade replacement').

Cumulative GPA = Σ (semester GPA × semester credit hours) ÷ Σ (total credit hours).
